Corporate Law
Mergers and Acquisitions Law

Alan works with buyers and sellers of companies big or small. Although he has handled many sizable and complex merger transactions during his career, Alan shuns the term “M&A lawyer,” as he strongly believes the term tends to depersonalize his practice. Instead, Alan likes to think his strength is working with individual owners who are, first and foremost, people. He enjoys helping these same owners with their corporate legal needs outside of the transaction, whether reviewing a contract or simply helping to get answers to whatever questions might arise. Alan notes that it is in fact the people he works with on either side of a deal who make his practice interesting and enjoyable. He is proud of his track record of successful transactions and believes that having a sense of humor doesn’t hurt.
Alan is Chairman of the firm’s Business & Corporate Group and 2014 marks his 23rd anniversary of joining the firm. He is a seasoned contract negotiator. Alan is a member of the editorial committee of the American Bar Association’s Mergers and Acquisitions Committee which recently published the Model Stock Purchase Agreement with Commentary, Second Edition, and is the Chair of the World Services Group, North American Section, Mergers and Acquisitions Committee. Alan serves as an adjunct professor in the Transactional Law Section at the Boston University College of Law. Over the course of his career he has served on numerous boards, committees, and commissions, from his New Hampshire high school alma mater to The Jackson Laboratory, a world-renowned genetics research institution. Alan currently sits on the board of the Institute for Family Owned Business, whose mission is to advise and assist owners of large and small Maine companies that are family owned and usually also family run. Although he began his legal career in New York City, Alan happily returned to Maine, where he attended college.
His family is Alan’s true passion. He lives in Falmouth with his wife Holly, their children, Ellie, Graham, and Louisa, and their two dogs, Sadie and Sammy. Alan loves to sail with Ellie, play tennis and golf with Graham (not to mention root for the Red Sox, Patriots, Celtics, and Bruins), and watch Louisa rowing with her crew team on Casco Bay. He especially loves to ski with the entire family. Alan shares the family culinary responsibilities with Holly because he likes to cook and “it sure beats clean-up!”
