Gordon W. Prince is a business law attorney who joined Gawthrop Greenwood shortly after graduating number one in his class at Widener University Delaware Law School. He focuses his practice in the firm’s Business Law Department and supports a broad range of transactional and general business entity matters including business formation, the drafting and negotiation of contracts and merger agreements, business compliance with state and federal law, and real estate and corporate governance. He is particularly attuned to the needs of local businesses, supporting mid-sized business clients with his authorship of Gawthrop Greenwood’s Guide to Buying and Selling a Business.

Gordon was named to Best Lawyers®: Ones to Watch 2024, after undergoing rigorous review and confidential evaluations by top attorneys in his field. He has been named annually to Super Lawyers Rising Stars as well as Main Line Today‘s Top Lawyers and the Daily Local News’ Top Lawyers. Gordon has served on the Delaware Supreme Court as a Wolcott Fellow to Chief Justice Strine, participating first-hand in the adjudication of cases that have a significant impact on the corporate world. In addition, he has spent time as a law clerk in multiple Philadelphia law firms that focused on criminal defense and insurance and subrogation law. As a former Class II patrolman for the Ocean City Police Department who also worked police security detail within the Ocean City Municipal Courthouse, Gordon has gained a unique operational understanding of the law and court system.

A former captain of the Gettysburg College football team, Gordon stays involved in sports and is a resident of West Chester, where he enjoys walking his dog around town and attending local events with his wife.

No More Noncompetes?


The United States Federal Trade Commission (“FTC”) has issued a new Non-Compete Clause Rule (the “Rule”), banning: (1) employers from enforcing existing noncompete agreements against workers, with limited exceptions applicable only to “senior executives”; and (2) employers from imposing new noncompete contracts on workers (including senior executives) after the date the Rule becomes effective.

Court Reverses Course: Beneficial Ownership Information Reporting Halted, Again


n rapid fashion, the Fifth U.S. Circuit Court of Appeals has reinstated a nationwide injunction that had been issued earlier this month by a federal judge in Texas that concluded the Corporate Transparency Act (CTA) was likely to be found unconstitutional.

Corporate Transparency Act Beneficial Owner Reporting Halted


The U.S. District Court for the Eastern District of Texas has issued a preliminary injunction nationwide against the enforcement of the Corporate Transparency Act (“CTA”), questioning its constitutionality and finding the law to be likely outside Congress’s power. The injunction was set forth by Judge Amos L. Mazzant III in Texas Top Cop Shop v. Garland et al. (case 4:24-cv-00478 December 3, 2024)
