Chair of Winston & Strawn's Paris Corporate Practice, Jérôme Herbet has advised French and foreign private and public corporations as well as private equity funds in connection with various domestic and cross-border transactions, including mergers and acquisitions and stock exchange transactions. He also regularly advises companies for the purposes of corporate finance transactions, including private placements and complex financing structures. Over time, he has participated in numerous stock exchange transactions, including initial public offerings, public tender offers, and the issuance of various financial instruments, including convertible bonds.
He has an extensive knowledge of regulatory issues in the banking, financial, and insurance fields in France and Europe, as well as issues related to the marketing of financial products and services. Jérôme advises his clients for the purposes of obtaining the appropriate licenses, setting up innovative products, or entering into complex commercial cooperation agreements. Jérôme has longstanding relationships with various regulated financial institutions that he advises on a regular basis in connection with regulatory matters in the areas of banking and financial law, insurance law, financial market transactions, and structured finance.He also occasionally represents such institutions or their principals in front of the competent disciplinary bodies (Autorité des marchés financiers, Autorité de contrôle prudentiel et de résolution).
Jérôme also regularly advises clients in regards to data privacy and data security especially with cross border merger and acquisition transactions.
