Wood Herren concentrates his practice in the areas of corporate transactions, federal, state and local taxation, exempt organizations, emerging businesses, health care organizations and industrial development. He is also regularly involved in transactions for the purchase, sale, lease and exchange of private aircraft.
Wood advises clients on a broad range of corporate matters, including structuring, financing, and negotiation of business acquisitions and dispositions, entity conversions, joint ventures and strategic alliances, and corporate governance. A significant portion of his practice is devoted to counseling clients on the planning and structuring of limited liability companies, limited liability partnerships, joint ventures and other pass-through entities for a variety of business transactions. Wood regularly advises early stage growth ventures on entity selection, capital formation, incentive compensation and technology licensing.
Wood served as law clerk to the Honorable Theodore Tannenwald, Jr., Senior Judge of the United States Tax Court, and holds an LL.M in Taxation from the New York University School of Law. He counsels clients on a wide array of federal, state and local tax matters and assists clients in tax planning for business transactions and entity formation. Wood represents clients in tax controversies ranging from audits, administrative appeals and hearings, refund and abatement requests and offers in compromise, to trials and appellate litigation of tax disputes.
Wood has an active practice in the exempt organizations area. He represents numerous public charities, private and community foundations, non-profit hospitals and health care providers, trade associations and other tax-exempt organizations. Wood assists clients in forming non-profit organizations and qualifying those organizations for the appropriate tax-exempt status. He advises clients on the tax law consequences of their operations and activities, including political and legislative activities, grants, structuring of for-profit subsidiaries, joint ventures and other involvement in for-profit enterprises, unrelated business taxable income, intermediate sanctions, board governance and other similar matters.
