Stéphanie J. Roy has developed in-depth expertise in financial regulations (European Prospectus 3 Regulation and European Midif 2 and AIFM directives) concerning securities issuance transactions involving their marketing. She knows how to adapt this regulatory framework to the specific universe of social and solidarity economy (SSE) companies and impact companies with her clientele of issuing companies and financial intermediaries.
She regularly works with the French supervisory authorities (Financial Markets Authority (AMF) and the Prudential Supervisory and Resolution Authority (ACPR) as part of her advisory activity, either to obtain the approval of a public offering prospectus of securities either to obtain the approval of fintech, crowdfunding or investment service provider activities.
The experience acquired during these operations led her to write the book entitled "Offers to the public of securities of unlisted companies", published by Revue Banque in 2021.
She is particularly fond of paving the way for new types of financial products or services with a strong social or environmental impact.
With her enthusiasm, her sense of pedagogy and communication, she often plays a transversal role helping to fine-tune and deploy her clients' strategy.
She can also act as a true conductor in the operations she manages thanks to the skills she has developed in the management of mergers and acquisitions projects, her second area of ??expertise.
The profession of legal counsel being a real vocation, she has been teaching for five years at the Paris Bar School and is an educational referent there for student lawyers, in mergers and acquisitions.
