William Weir is experienced in tax-exempt bond financings, commercial real estate, secured lending, general corporate and tax practice. His principal areas of practice include bond counsel work in connection with industrial development revenue bonds, local development corporation bonds, civic facility revenue bonds, college and university bonds, solid waste resource recovery bonds, hospital and health care bonds, other exempt facility bonds, multi-family housing bonds, continuing care retirement community bonds, assistive living facility bonds, affordable housing bonds and general obligation bonds.
My focusI advise clients regarding the tax aspects of tax-exempt bond transactions, acting as bond counsel, underwriter’s counsel, special tax counsel and borrower’s counsel.Economic DevelopmentI am involved in a broad array of financings for economic development, including serving as bond counsel for many of the firm’s issuing authorities, underwriter’s counsel for our investment banking clients and bank counsel for institutions purchasing or providing credit support of tax-exempt bonds. Projects financed include industrial development bonds as well as those for nonprofit borrowers such as universities, hospitals, nursing homes, continuing care retirement communities and assisted living facilities.
Corporate PracticeIn my general corporate practice, I represent publicly owned and closely held corporations in general corporate and financing matters. I also represent many of the firm’s banking clients on real estate, commercial lending and public and project finance transactions. I also work closely with nonprofit and education corporations on tax, corporate and financing matters.
Resource Recovery and EnergyI have worked as bond counsel on numerous resource recovery and other solid waste disposal facilities as well as electrical generation and co-generation facilities. I have represented developers and operators of resource recovery and other solid waste disposal facilities in connection with the financing of many such facilities.
Looking aheadThe next few years will be a time for innovative financing opportunities to help communities seeking to provide employment growth and borrowers (private as well as nonprofits) seeking new business opportunities. Nonprofit entities will face myriad financial challenges as federal and state agencies revise and reduce funding sources. I will work with such entities to provide guidance on structuring financings to help them prepare for the future. Having an appreciation of all sides of these financings, I look to extract the maximum benefits and opportunities for my clients from these incentives.
