Jennifer Jovcevski is an associate in Nixon Peabody’s M&A and Corporate Transactions and Nonprofit practice group. She represents businesses in commercial transactions, including mergers and acquisitions, and advises clients on general corporate matters and corporate governance. Jennifer also advises nonprofit organizations in matters relating to legal requirements and best practices regarding governance and operational matters. Her specialty is in charter school and non-public school compliance as she serves as outside counsel to charter schools and non-public schools in matters relating to legal requirements and best practices in connection with governance and operational matters. Jennifer is also the founder and host of Nixon Peabody’s podcast, She Talks Law, available on Apple and Spotify.
My focus
General CorporateI counsel public and private companies of all sizes on a variety of corporate and business law matters, including, but not limited to, entity formation, organizational documents, preparation of vendor agreements, negotiating and preparing commercial contracts, licensing, and corporate governance. I help my clients address complex commercial issues using thoughtful legal solutions to protect their interests while maintaining and maximizing their relationships with vendors, suppliers, shareholders, and customers. My client base spans across many industries, ranging from food and beverage to lenders to cannabis to professional services, education, and health care. Nonprofit Corporate Governance and Board DisputesWith the increased level of scrutiny and transparency requirements from the IRS, state charity regulators, and the public, it is more important than ever that nonprofit organizations ensure their governance and operations are legally compliant. I’ve helped organizations ranging from the very small to the very large update bylaws and policies to comply with legal requirements and best practices. Reorganizations, Mergers and Acquisitions, Dissolutions and Sale of AssetsThe current climate for nonprofits is unprecedented. Efficient and effective operations are more important than ever. Many nonprofits are working to leverage current assets and seek strategic alliances to ensure continued operations to assist the most vulnerable in society. I’ve worked with many nonprofits to successfully sell assets and navigate mergers and dissolutions, including working through state charity-approval processes, which have become subject to increased scrutiny. Most recently, my work in this area included assisting nonprofit housing organizations sell or refinance housing projects and advising on the merger and sale of assets by health care and nursing home nonprofit organizations. I also counsel for profit clients in the negotiation and management of business acquisitions, mergers, and sales. I represent both targets and acquirers in these transactions and work to help my clients manage risk between parties to these agreements to maximize profit and ensure successful closings. In each transaction, my focus is on acting as a team member and resource for my clients every step of the way to accomplish their objectives in a thorough and efficient manner. Charter/Non-Public School RepresentationAs a former Teach for America teacher turned lawyer, I have represented a number of charter schools and non-public schools in all areas of operation from startup to dissolution. This includes corporate governance and compliance, formation, education law matters, disciplinary matters, tax exempt status (obtaining and maintaining), real estate (leasing, purchase/development, and financing), mergers and reorganizations, education services (management) agreements, “Friends Of” organizations, application renewal, and regulatory affairs. With the assistance of the firm’s Nonprofit team, I am well equipped to help your school navigate the legal and political hurdles charter schools and non-public face on a daily basis, so you can maximize what is most important, ensuring an alternative quality education for your students.

Small businesses, nonprofit organizations and middle-market companies require a fresh, inventive perspective in this “new normal.” As customer, clients, distributors, vendors, lenders, employees, and investors acclimate to recent global economic and political shifts, businesses large and small need careful legal guidance, particularly in areas surrounding corporate structure, workplace safety, governance, cybersecurity, licensing, and restructuring and reprioritizing business models with an intersectional lens.
