Kay-Uwe Neumann specializes in representing and advising foreign and domestic companies, particularly listed German stock corporations, in corporate and commercial law matters and on group law. He advises clients on public takeovers and subsequent structural and integration measures under stock corporation law, including the implementation of (merger law) squeeze-out procedures, the conclusion of control and profit transfer procedures and restructuring. This advice also includes litigation representation in corporate law disputes, in particular rescissory actions, release/summary proceedings and administrative decision procedures (corporate litigation).
The preparation of “defense strategies” and “defense manuals” with regard to activist investors and the supervision of special audit proceedings under stock corporation law are just as important in his advisory practice as providing classic advice to management boards and ongoing advice to supervisory boards, inter alia, on liability issues, business transactions, approval requirements, co-determination issues and corporate governance matters. As a long-standing advisor, he also supports clients in all aspects of housekeeping under corporate law and in preparing and supervising public general meetings and board meetings.
