KRIS KEMP, head of h3gm’s Corporate Practice Group, focuses on merger and acquisition transactions, securities offerings and representation of private equity and venture backed companies. His corporate practice also includes providing capital structure advice to emerging and growth companies.

Kris also regularly helps high-level executives negotiate their compensation arrangements and with strategic transactions.

Kris represents both buyers and sellers of public and private companies on mergers, acquisitions and financings, including public and private debt and equity placements. Kris helps his clients choose a strategic path for growth, identify and mitigate potential issues, and close transactions in a timely manner. Kris is a trusted adviser to many of his clients because of his commitment to understanding and protecting their interests.

Kris represents various venture capital firms that invest in companies specializing in advanced manufacturing and materials, energy and environmentally clean technologies, and information and digital media technologies. One such venture capital firm is NEST-TN, which is certified by the state of Tennessee as a TNInvestco, a program that uses state funds to help Tennessee companies grow.

Kris sits on h3gm’s Executive Committee and is active in the legal community through his service on the Tennessee Bar Association’s Business Law Executive Council and Business Corporations Act Subcommittee. Best Lawyers in America has recognized Kris as a leader in corporate and securities law.

Kris received his J.D. from Vanderbilt University, where he received the American Jurisprudence Award for Property. He received a Bachelor of Science in mechanical engineering, summa cum laude, and a Bachelor of Arts in Spanish language and literature, summa cum laude, from North Carolina State University in 1992. In 2003, he received the Distinguished Alumnus Award from the North Carolina State College of Humanities and Social Sciences.
