Mr. Corte has acted on a number of complex and/or contested takeover assignments and trans-Atlantic transactions, including:Adevinta ASA in its announced US$9.2 billion acquisition of eBay Classifieds Group from eBay Inc.;Intel Corporation’s US$15.3 billion acquisition of Mobileye N.V.;Konecranes’ proposed all-stock merger with Terex Corporation (NYSE) and its subsequent acquisition of a division of Terex;VimpelCom’s (now VEON) US$30 billion exchange offer for OJSC VimpelCom and simultaneous business combination with CJSC Kiyvstar G.S.M.; andArcelor in the US$22.8 billion unsolicited bid by Mittal Steel Company NV and their subsequent US$33.8 billion merger.Mr. Corte regularly acts for financial sponsors on their investments and divestments in Europe, and has completed a number of transactions in the technology, energy and retail sectors — including for Silver Lake Partners, The Blackstone Group and Investindustrial — as well as several Europe-based family offices.He represents strategic investors in connection with cross-border acquisitions, sales of privately owned companies and assets, and joint ventures in Europe, the Middle East, Africa, the United States and the CIS region. He has completed transactions for, among others, Anheuser-Busch, Atlantica Sustainable Infrastructure, Cinépolis, Danaher Corporation, Engen/Petronas, Exxon Mobil Corporation, Kellogg Company, Moody’s Corporation, Mylan, NTT DoCoMo, Nomura, ST Microelectronics N.V., Valeant Pharmaceuticals International and Validus Holdings.Mr. Corte is part of the London team leading Skadden’s European efforts on SPAC IPOs and de-SPAC transactions, and his experience in de-SPACing transactions includes:RMG Acquisition Corporation II in its $8 billion business combination with ReNew Power, India’s leading renewable power company. This is the first-ever de-SPAC transaction involving an Indian company; andOdyssey Acquisition S.A. in its $1.7 billion merger with BenevolentAI, Europe’s largest-ever de-SPAC transaction.Mr. Corte also heads Skadden’s Italian practice that was named international Italian Desk of the Year by TopLegal five of the last seven years (including 2019 and 2020). His experience in transactions representing Italian parties includes acting for Assicurazioni Generali, Brembo, Cattolica Assicurazioni, Fabbrica Italiana Lapis ed Affini, Finmeccanica, Gentium, Luxottica Group, Stevanato and the Ministry of Treasury of the Republic of Italy.He lectures and participates in seminars related to his practice and is an adjunct professor in international M&A at both Fordham Law School and Ohio State University School of Law. Mr. Corte was named one of Financial News’ Fifty Most Influential Lawyers in 2022.
