Terry Warner is a financial services and insolvency lawyer who practices primarily in corporate and commercial litigation; personal and corporate bankruptcy; and commercial insolvency, receivership, and collections.

He specializes in the financial reorganization of insolvent corporations under insolvency legislation and in the structural reorganization of corporations under the Business Corporations Act. Terry has participated in numerous major commercial transactions involving insolvent corporations, and in insolvency court proceedings in various jurisdictions.Terry has written extensively, starting early in his legal career with an article he co-authored for the Alberta Law Review in 1990. This was followed by an article published in the Journal of International Banking in 1995 entitled the “Evolution of the Mareva Principle in Canada,” which was reprinted in The Law Times, Pakistan in 1995 and quoted at length before the full bench of the Supreme Court of Pakistan in March 1995. He has engaged in legislative review, most recently in respect of the proposed changes to the Bankruptcy & Insolvency Act.

Terry has also taught business law at Grant MacEwan College, presented seminars on collection law and practices and on various legislation including the Civil Enforcement Act, the Personal Property Security Act, and the Fair Trading Act. He has written and presented papers at Canadian Bar Association, LORMAN Education Services, the Canadian Association of Insolvency and Restructuring Professionals (CAIRP) seminars, and the Legal Education Society of Alberta (LESA).

Terry’s litigation practice has included issues of directors’ liability including directors’ and officers’ duties and obligations, the rights of minority shareholders and the oppression remedy, violation of restrictive covenants, fraudulent conveyances and preferences, commercial and residential lease enforcement, intellectual property matters, and litigation involving the interpretation and enforcement of contracts.

Active in the community, Terry has held a number of administrative positions in the churches in which he was involved. He has also participated in the organization and operation of a church sponsored community boys club, and is a member of various Boards.
