Advising a US investment firm in the sale of an energy production group
The advice included all the legal requirements during the previous works to sell the energy company (a group of more than 30 companies) during a beauty contest with numerous bidders. The team designed the transaction and drafted the first version used to start the preliminary negotiations with several potential buyers. Once the financial advisor decided the main potential buyers, we drafted and negotiated the SPA, R&W and several additional corporate documents until the execution of the transaction. This team also advised the company regarding the post-deal issues and is managing all the subjects after this divestment. This transaction has been one of the most relevant within the energy field in Spain in 2018.
Advising in a distress M&A in the health field
The advice included the entire procedure to acquire an hospital by a group of companies of the same sector, since the initial reviewing of the business, the acquisition and the post-deal advice. The target hospital started an insolvency proceeding before the acquisition and we executed the due diligence, negotiations, offers and purchase agreement. The acquisition of this company was especially complex since the current owners tried to prevent the transaction and a third party company also tried to acquire the target through several judicial oppositions. Finally the M&A department achieved to acquire the company despite all the internal and external barriers.
Advising a chain of hotels in Spain in the sale of several companies
The advice included the procedure by which the Spanish hotels sold several subsidiaries with several hotels in different locations of Spain to a French hotels’ company. This transaction required several corporate transactions in order to carve-out some assets not included in the perimeter and the execution of several agreements at closing to terminate financial debt that the purchaser’s financing banks required to cancel to finance the transaction. The advice includes: Letter of Intent, Due Diligence, Share Purchase Agreement, and other agreements.
Advising an investment firm in the acquisition of a business engaged in the food field
We advised during the entire procedure of acquisition of the company by the investment firm, including more than 50 employees. The company. started an insolvency proceeding on September 2018 and the advice included the due diligence, negotiations, offers and purchase agreement within a period of 2 months, despite all the judicial steps to fulfil during an insolvency proceeding. The situation of the company was extremely difficult because lack of liquidity, thus a fast acquisition was required to rescue the company. Thanks to this advice the business could be saved, maintaining the current jobs.
Advising a proptech startup during the investment round
The advice included all the procedure addressed to obtain the financing required to continue an expand the activity of a proptech comapny in Spain. It included the negotiations with the investors and drafting all the agreements. This procedure also included certain exits by several shareholders.
